dynamic business law chapter 2: Dynamic Business Law: The Essentials Lucien Dhooge, M. Neil Browne, Linda Barkacs, Daniel Herron, Nancy Kubasek, 2012-01-05 Dynamic Business Law: The Essentials is appropriate for the one-semester Business Law course. It contains the basics of business law but does not get bogged down in the kind of details that are more appropriate in an upper-level law class. The text provides an examination of the basic questions, concepts, and legal rules of business law. Emphasis on the BUSINESS in business law. Dynamic Business Law: The Essentials emphasizes the tie of legal issues back to the core business curriculum. This will help both students and faculty. Faculty need to know how this is integrated as they are constantly ‘defending’ the inclusion of this course in the business curriculum. And students need to understand how the concepts tie to their future business careers. Emphasis on TEACHING. Many professors teaching this course are attorneys first and academics second. They do not have a lot of time to prepare or think about how to apply this information effectively for their business students. Dynamic Business Law: The Essentials contains a helpful instructor’s manual, particularly for the many adjuncts teaching this course. Emphasis on CRITICAL THINKING. Neil Browne, one of the co-authors of this text, has written a successful text on critical thinking. His framework is included in Dynamic Business Law: The Essentials as well – to help students learn how to frame and reframe a question/issue. Critical thinking questions are also included at the end of each case, to tie in this component even further. |

dynamic business law chapter 2: Corporate Social Responsibility – Sustainable Business Rae Lindsay, Roger Martella, 2020-06-17 In a dramatic departure from its voluntary origins, corporate social responsibility (CSR) is rapidly shifting to hold multinational companies accountable for more than traditional shareholder performance. This CSR movement is embracing new environmental, social and governance (ESG) frameworks that both promote global sustainability goals and enhance accountability for negative impacts businesses can have on ‘planet and people’. This collection of essays by leading businesspeople, international civil servants, legal practitioners, academics, and other experts offers a forward-looking and pragmatic perspective that illuminates the major themes in this movement towards increasingly sustainable, transparent and accountable business practices. The collection shows how CSR has evolved to account for societal pressures, environmental, climate change and human rights impacts, international policy imperatives and the practical challenges of regulating commercial activity that transcends borders. The chapters offer an in-depth examination of current issues including: international frameworks and multistakeholder initiatives catalysing foundational change; the shifting emphasis on corporate imperatives to avoid harm to third parties; trends in CSR, focused on assuring the planet's future sustainability and social stability; regulatory initiatives around the globe, including Europe, North America, Asia and Africa; and extended accountability for activities of corporate group members and supply chains. The pressure and business case for companies to incorporate CSR into corporate governance is intensifying with each quarter, shareholder meeting, and regulatory agenda. The integration of CSR and new ESG frameworks into multinational corporate strategy and operations is key to sustainable business models that can generate long-term value for the organization and all stakeholders. Their acceptance as cornerstones of 21st century business practice appears inevitable. Taking full account of the imperative for companies and their lawyers to grapple with the practical and legal challenges in this area, this volume is an invaluable and pragmatic addition to the practitioners’ toolbox at this important juncture in an ever-more dynamic field. |

dynamic business law chapter 2: Invitation to Law & Society Kitty Calavita, 2016-04-11 Research and real-life examples that “lucidly connect some of the divisive social issues confronting us today to that thing we call ‘the law’” (Law and Politics Book Review). Law and society is a rapidly growing field that turns the conventional view of law as mythical abstraction on its head. Kitty Calavita brilliantly brings to life the ways in which law is found not only in statutes and courtrooms but in our institutions and interactions, while inviting readers into conversations that introduce the field’s dominant themes and most lively disagreements. Deftly interweaving scholarship with familiar examples, Calavita shows how scholars in the discipline are collectively engaged in a subversive exposé of law’s public mythology. While surveying prominent issues and distinctive approaches to both law as it is written and actual legal practices, as well as the law’s potential as a tool for social change, this volume provides a view of law that is more real but just as compelling as its mythic counterpart. With this second edition of Invitation to Law and Society, Calavita brings up to date what is arguably the leading introduction to this exciting, evolving field of inquiry and adds a new chapter on the growing law and cultural studies movement. “Entertaining and conversational.” —Law and Social Inquiry |

dynamic business law chapter 2: Restrictive Business Practices, Transnational Corporations, and Development F. Long, 2012-12-06 Problems of development in what is normally called the Third World have been a subject matter of concern of the social sciences, lespecially of eco nomics, for over two decades now. 1 Between the late 1950s and the current time, as Chapter 2 attempts to show, the emphasis seems to have shifted from purely economic considerations of underdevelopment to a paradigm that includes other, extra-economic considerations of a social, political, and cultural nature. The recent emergence of development studies as a new social science discipline stems precisely from the methodological premise that development is a complex process that can only be adequately under of a stood, analyzed, and alleviated by a cross-disciplinary approach instead 2 wholly unidisciplinary one. We do not wish to challenge the above proposition. However, it remains of certain economic phenomena that pose problems true that an assessment of to developing countries can offer us greater insights into problems development, including the formulation of appropriate policies aimed at improving socioeconomic conditions in such countries. is restrictive business practices. This study is con One such phenomenon of restrictive business practices as they cerned mainly with surveying aspects relate to problems of development in the Third World. Restrictive business xiii xiv INTRODUCTION practices are not confined to developing countries; however, limited work seems to have been conducted in terms of relating the concept of restrictive business practices to problems of development. The existing evidence of restrictive business practices in the development process is quite fragmen tary. |
dynamic business law chapter 2: Business Continuity and Disaster Recovery Planning for IT Professionals Susan Snedaker, 2011-04-18 Powerful Earthquake Triggers Tsunami in Pacific. Hurricane Katrina Makes Landfall in the Gulf Coast. Avalanche Buries Highway in Denver. Tornado Touches Down in Georgia. These headlines not only have caught the attention of people around the world, they have had a significant effect on IT professionals as well. As technology continues to become more integral to corporate operations at every level of the organization, the job of IT has expanded to become almost all-encompassing. These days, it's difficult to find corners of a company that technology does not touch. As a result, the need to plan for potential disruptions to technology services has increased exponentially. That is what Business Continuity Planning (BCP) is: a methodology used to create a plan for how an organization will recover after a disaster of various types. It takes into account both security and corporate risk management tatics. There is a lot of movement around this initiative in the industry: the British Standards Institute is releasing a new standard for BCP this year. Trade shows are popping up covering the topic.* Complete coverage of the 3 categories of disaster: natural hazards, human-caused hazards, and accidental and technical hazards.* Only published source of information on the new BCI standards and government requirements.* Up dated information on recovery from cyber attacks, rioting, protests, product tampering, bombs, explosions, and terrorism. |

dynamic business law chapter 2: Anarchism Carissa Honeywell, 2021-01-28 Is it possible to abolish coercion and hierarchy and build a stateless, egalitarian social order based on non-domination? There is one political tradition that answers these questions with a resounding yes: anarchism. In this book, Carissa Honeywell offers an accessible introduction to major anarchist thinkers and principles, from Proudhon to Goldman, non-domination to prefiguration. She helps students understand the nature of anarchism by examining how its core ideas shape important contemporary social movements, thereby demonstrating how anarchist principles are relevant to modern political dilemmas connected to issues of conflict, justice and care. She argues that anarchism can play a central role in tackling our major global problems by helping us rethink the essentially militarist nature of our dominant ideas about human relationships and security. Dynamic, urgent, and engaging, this new introduction to anarchist thought will be of great interest to both students as well as thinkers and activists working to find solutions to the multiple crises of capitalist modernity. |
dynamic business law chapter 2: Legal Indeterminacy and Constitutional Interpretation J.J. Moreso, 2013-04-17 The main purpose of this book is to offer a logical analysis of legal propositions, especially of constitutional propositions. This analysis shows the relationship between truth-conditions of legal propositions and the problem of indeterminacy. Where the law is indeterminate, legal propositions lack truth-values. The background of this approach is the philosophical debate between realism and antirealism. The book deals with the notions of legal norms and legal systems and provides an analysis of the notion of legal indeterminacy and its relation to gaps, contradictions and the vagueness of legal concepts. It shows also that the simple model of a legal system is not sufficient to account for the complexity of legal propositions referring to legal systems of some degree of maturity. Several notions from legal dynamics are presented in order to bring to light the importance of concepts like applicability or hierarchy for the determination of the truth-value of a legal proposition. Thus the primacy of constitution becomes a central idea in the theoretical reconstruction of most contemporary legal systems; a conceptual explanation of this idea is presented and some conclusions from that explanation are drawn. Finally, a particular conception of constitutional interpretation is proposed. Special attention is paid to the relationship between interpretation and legal indeterminacy and, more specifically, to the problem of the discretion enjoyed by the organs entrusted with applying the constitution and also to the several theses that have been discussed controversially in the context of constitutional interpretation, such as the relevance of the intentions for the interpretation of the constitution and for the justification of judicial review. |
dynamic business law chapter 2: Regulating Blockchain Philipp Hacker, Ioannis Lianos, Georgios Dimitropoulos, Stefan Eich, 2019-08-29 Less than a decade after the Financial Crisis, we are witnessing the fast emergence of a new financial order driven by three different, yet interconnected, dynamics: first, the rapid application of technology - such as big data, machine learning, and distributed computing - to banking, lending, and investing, in particular with the emergence of virtual currencies and digital finance; second, a disintermediation fuelled by the rise of peer-to-peer lending platforms and crowd investment which challenge the traditional banking model and may, over time, lead to a transformation of the way both retail and corporate customers bank; and, third, a tendency of de-bureaucratisation under which new platforms and technologies challenge established organisational patterns that regulate finance and manage the money supply. These changes are to a significant degree driven by the development of blockchain technology. The aim of this book is to understand the technological and business potential of the blockchain technology and to reflect on its legal challenges. The book mainly focuses on the challenges blockchain technology has so far faced in its first application in the areas of virtual money and finance, as well as those that it will inevitably face (and is partially already facing, as the SEC Investigative Report of June 2017 and an ongoing SEC securities fraud investigation show) as its domain of application expands in other fields of economic activity such as smart contracts and initial coin offerings. The book provides an unparalleled critical analysis of the disruptive potential of this technology for the economy and the legal system and contributes to current thinking on the role of law in harvesting and shaping innovation. |

dynamic business law chapter 2: Corporate Manslaughter and Corporate Homicide Shivam Goel, 2015-06-26 A corporation is an artificial legal person, existing only in the contemplation of law, having perpetual succession and common seal. Can a corporation commit crime, for its inability to form mens rea? If yes, then can it be accused of crimes as grave as homicide? Even post the Bhopal Gas Tragedy and the Uphaar Cinema Tragedy, absence of legislation such as the Corporate Manslaughter and Corporate Homicide Act, 2007 (UK) is no less a pity. Absolute liability theory (coupled with deep-pocket theory), though is an improvisation over the strict liability theory but has failed to ensure corporate criminal deterrence. This book is an attempt to ponder over issues relating to corporate criminal behaviour, in particular 'corporate homicide' and 'corporate manslaughter'. |

dynamic business law chapter 2: The Global Anti-Money Laundering Regulatory Landscape in Less Developed Countries Norman Mugarura, 2016-03-09 Examining the challenges of using the global anti-money laundering (AML) framework in an uneven global regulatory landscape, this book discusses the difficulties of relating de-regulation, liberalization and conflict of laws to the dynamics of the market economy and demonstrates how the global environment engenders money laundering. It suggests that corruption, general systemic failure and lack of infrastructural capacity in some developing economies are hampering the implementation of laws and regulations. Suggesting that these challenges can be overcome by designing AML regimes more suited to developing economies within the prevailing global climate, the book questions the assumption that that global regimes will be applicable and emphasises the need for more representation of developing economies on the relevant committees. This book is the first of its kind to present the perspective of developing economies and their involvement in AML regimes and should be of interest to those involved in business and commercial law as well as comparative law. |

dynamic business law chapter 2: Arbitrability Fabien Gélinas, Leyla Bahmany, 2023-11-17 As simple as the arbitrability question might appear (namely, what types of issues may and may not be submitted to arbitration), for a legal system to set a clear and consistent approach to arbitration, it must consider many complicated factors that relate to public policy and economic priorities as well as international relations. This comprehensive, precise, and practical book identifies and analyzes the fundamentals of, and major approaches to, arbitrability in the current international context. The authors focus on nine major arbitration jurisdictions—the United States, Canada, France, England and Wales, Switzerland, Germany, China (Mainland), Hong Kong, and Singapore—with meticulous attention to each jurisdiction’s pertinent case law and legislative framework as well as relevant commentary. For each jurisdiction, the arbitrability of disputes in the following fields of law is discussed: antitrust/competition; bankruptcy/insolvency; consumer; corporate; family/domestic relations; intellectual property (copyright, patent, and trademark); labor/employment; securities; and torts. Based on the jurisdiction-by-jurisdiction analysis, the authors identify key areas in which the selected jurisdictions share similarities and evince differences with respect to each of the above-mentioned fields. With a structure that enables readers to easily locate what they are looking for and gives clear-cut answers, this unique book fully elucidates the notion of arbitrability by identifying the key concepts, the applicable rules, and different criteria for arbitrability and by explaining how different jurisdictions deal with specific types of disputes. It will be welcomed by counsel, arbitrators, judges, students, and academics active in international arbitration and the enforcement of arbitral awards. |
dynamic business law chapter 2: Introduction to Psychology Jennifer Walinga, Charles Stangor, This book is designed to help students organize their thinking about psychology at a conceptual level. The beginning of each section includes learning objectives; throughout the body of each section are key terms in bold followed by their definitions in italics; key takeaways, and exercises and critical thinking activities end each section. |
dynamic business law chapter 2: Communities in Action National Academies of Sciences, Engineering, and Medicine, Health and Medicine Division, Board on Population Health and Public Health Practice, Committee on Community-Based Solutions to Promote Health Equity in the United States, 2017-03-27 In the United States, some populations suffer from far greater disparities in health than others. Those disparities are caused not only by fundamental differences in health status across segments of the population, but also because of inequities in factors that impact health status, so-called determinants of health. Only part of an individual's health status depends on his or her behavior and choice; community-wide problems like poverty, unemployment, poor education, inadequate housing, poor public transportation, interpersonal violence, and decaying neighborhoods also contribute to health inequities, as well as the historic and ongoing interplay of structures, policies, and norms that shape lives. When these factors are not optimal in a community, it does not mean they are intractable: such inequities can be mitigated by social policies that can shape health in powerful ways. Communities in Action: Pathways to Health Equity seeks to delineate the causes of and the solutions to health inequities in the United States. This report focuses on what communities can do to promote health equity, what actions are needed by the many and varied stakeholders that are part of communities or support them, as well as the root causes and structural barriers that need to be overcome. |
dynamic business law chapter 2: Competition Law and Regulation of the EU Electronic Communications Sector Liyang Hou, 2012-09-01 This book brings satisfying definition and clarity to this field at last. Exploring the substantive differences between competition law and sector-specific regulation after the methodological integration, it presents the first detailed analysis of the many hundreds of notifications and Commission letters generated under the Article 7 procedure, identifying the most relevant cases dealing with market definition, market power, and remedies. It compares these decisions with relevant competition law cases and highlights elements with a bearing on sector-specific regulation. It also offers hugely valuable guidance through the vast amount of documents in the Commission’s CIRCA database. Topics and issues raised include the following: definition of product markets; delineation of geographic markets (including sub-national); different practices in relation to assessing single market power and collective market power; and competition problems such as refusal to deal, margin squeeze, non-price discrimination, and excessive pricing. There can be little doubt that this is the new reference point for researchers and practitioners in this domain. By systematically categorizing the concepts and legal criteria and building a solid theoretical framework on the intersection of competition law and sector-specific regulation, the author has created a resource that is sure to be welcomed by all those involved in regulation of electronic communications markets and network industries in general: academic scholars, telecommunications regulators at the EU and Member State levels, competition authorities, law firms specializing in IT/communications law, practitioners in IT and telecommunications companies, and consultants in the sector. The book will also prove very useful for scholars and practitioners in other parts of the world interested in comparing the EU system with their own. |
dynamic business law chapter 2: Five Decades of Tackling Models for Stiff Fluid Dynamics Problems Radyadour Kh. Zeytounian, 2013-12-03 Rationality - as opposed to 'ad-hoc' - and asymptotics - to emphasize the fact that perturbative methods are at the core of the theory - are the two main concepts associated with the Rational Asymptotic Modeling (RAM) approach in fluid dynamics when the goal is to specifically provide useful models accessible to numerical simulation via high-speed computing. This approach has contributed to a fresh understanding of Newtonian fluid flow problems and has opened up new avenues for tackling real fluid flow phenomena, which are known to lead to very difficult mathematical and numerical problems irrespective of turbulence. With the present scientific autobiography the author guides the reader through his somewhat non-traditional career; first discovering fluid mechanics, and then devoting more than fifty years to intense work in the field. Using both personal and general historical contexts, this account will be of benefit to anyone interested in the early and contemporary developments of an important branch of theoretical and computational fluid mechanics. |

dynamic business law chapter 2: Analysis, Control and Optimization of Complex Dynamic Systems El-Kébir Boukas, Roland P. Malhamé, 2005-04-20 Analysis, Control and Optimization of Complex Dynamic Systems gathers in a single volume a spectrum of complex dynamic systems related papers written by experts in their fields, and strongly representative of current research trends. Complex systems present important challenges, in great part due to their sheer size which makes it difficult to grasp their dynamic behavior, optimize their operations, or study their reliability. Yet, we live in a world where, due to increasing inter-dependencies and networking of systems, complexity has become the norm. With this in mind, the volume comprises two parts. The first part is dedicated to a spectrum of complex problems of decision and control encountered in the area of production and inventory systems. The second part is dedicated to large scale or multi-agent system problems occurring in other areas of engineering such as telecommunication and electric power networks, as well as more generic context. |
